General Terms and Conditions
1. Introduction
These Terms and Conditions ("Agreement") outline the rights, obligations, and expectations between Nadine Bower ("Freelancer") and the Client ("Client") in relation to copywriting services. By engaging the Freelancer’s services, the Client agrees to these terms.
2. Services Provided
The Freelancer agrees to provide copywriting services as outlined in the project scope agreed upon by both parties. Services may include but are not limited to blog writing, website copy, email copy, and other written materials.
3. Payment Terms
The Client agrees to pay the Freelancer the agreed-upon rate as per the project contract.
Payment terms are 80% upfront and 20% upon completion for contracts totaling over $100.00.
The Freelancer will not begin work on a project until the 80% downpayment has been received. The remaining 20% should be paid in full by the date agreed upon in the project scope.
Late payments may incur a 5% per day late fee and legal action may be taken.
For contracts totaling less than $100.00, payment is due in full by the date listed in the project scope. The Freelancer will not begin work on the project until payment has been received.
Invoices are due within 7 days of issuance.
Payment methods accepted: Visa, Mastercard, AMEX, Discover, JCB, Diners Club, UnionPay, Apple Pay, PayPal, or a US Bank Account.
4. Revisions and Edits
The Client is entitled to at least one round of revisions that can be requested within 7 days of issuance. (Some service packages provide more than one round of revisions. This information is found in the service package description and in the contract.)
Additional revisions beyond the agreed amount will be charged at an hourly rate of $30 per hour.
Revision requests must be specific and clearly outlined. This can be done via email, call or Google Meet.
Revisions do not include major structural changes or entirely new content unless agreed upon.
Revisions will be submitted to the Client within 7 days after the request is received.
If no revisions are requested within the specified time, the project will be considered complete, and the final invoice will be issued.
The Freelancer reserves the right to deny excessive or unreasonable revision requests that fall outside the original project scope.
5. Turnaround Time
The Freelancer will complete the work within the agreed-upon deadline as stated in the contract and project scope.
Delays due to the Client (e.g., late feedback, lack of information) may result in a revised deadline. These revisions will be noted in the “Project Milestones” and the Client will be notified of these changes via email.
6. Ownership and Copyright
Upon full payment, the Client receives full rights to the final content.
The Freelancer retains the right to use non-confidential work in their portfolio unless otherwise agreed.
The Freelancer retains the right to showcase the Client’s logo on their website, unless otherwise agreed upon.
7. Confidentiality
Both parties agree to keep all project-related information confidential.
The Freelancer will not disclose, share, or use any proprietary information beyond the scope of the project.
8. Termination
Either party may terminate the agreement with written notice.
If the Client terminates after work has begun, a prorated amount of the total fee is due based on the work completed.
If the Client down payment exceeds the prorated amount, the Client will be refunded the difference.
9. Liability
The Freelancer is not responsible for any loss or damages resulting from the use of the delivered content.
The Client is responsible for verifying the accuracy and compliance of the content before publishing.
10. Governing Law
This Agreement shall be governed by the laws of the State of Ohio and Ottawa County.
By engaging in services with the Freelancer, the Client acknowledges and agrees to these terms.
